Evaluation License

Overview

The Vaktex Evaluation License (the “License”) governs Vaktex’s open-weights model DOM-OSS and the VAKT scanning tool that runs it, together with their weights, configuration, tokenizer, code, and accompanying files (the “Licensed Materials”).

The Model is source-available and open-weights: the weights are published so that anyone may download, inspect, run, and study them. The Licensed Materials are not open source as defined by the Open Source Initiative, because the uses they permit are limited. Research and education are free. Any commercial or production use requires permission from Vaktex, which companies and individuals can request on the model card, and, in every case, no resale and no public API hosting are ever permitted.

By downloading, accessing, or using any of the Licensed Materials, you agree to this License. If you do not agree, do not download, access, or use them.

This is a human-readable copy of the terms. The authoritative text is the LICENSE file distributed with the Licensed Materials.

1. Definitions

“Vaktex” means Vaktex and its affiliates, the licensor of the Licensed Materials.

“Model” means the DOM-OSS model weights and parameters, configuration files, tokenizer, and any code, documentation, or other materials distributed by Vaktex together with them under this License.

“Tool” means vakt, the Vaktex scanning tool that extracts, scores, and ranks code using the Model, and any code or documentation distributed with it under this License.

“Licensed Materials” means the Model and the Tool, together and individually.

“Derivative” means any model or artifact created from the Model, including a fine-tuned, quantized, distilled, pruned, merged, adapted, or otherwise modified version of the Model, and any set of weights trained or materially derived using the Model or its outputs. References to the Model include Derivatives unless stated otherwise.

“Output” means the scores, classifications, embeddings, or other data the Licensed Materials produce from an input.

“Model Card” means the Vaktex DOM-OSS model page at huggingface.co/vaktex/dom-oss-0.8b, through which Vaktex manages gated access requests.

“Permitted Purpose” means, and is limited to:

• Research: academic, scientific, or independent research, including publishing results, benchmarks, and papers about the Licensed Materials;
• Education: teaching, coursework, training, and personal learning; and
• Evaluation: personal or internal evaluation of the Licensed Materials to assess whether to license them from Vaktex for a Commercial Purpose, provided the evaluation is not itself used in production and does not provide a service to any third party.

“Commercial Purpose” means any use that is primarily intended for or directed toward commercial advantage or monetary compensation, or any use in production or in the operation of a business, including without limitation:

• using the Licensed Materials or their Outputs to provide a product or service to any third party, whether or not for a fee;
• using the Licensed Materials or their Outputs in, or to operate, secure, review, or develop software or systems in the course of a business;
• offering the Licensed Materials or a Derivative, or access to either, to others; and
• using the Licensed Materials or a Derivative to build, train, evaluate, or improve a product, model, or service that competes with any Vaktex product or service.

2. Grant of License

Subject to your compliance with this License, Vaktex grants you a worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• download, access, install, and run the Licensed Materials;
• use the Licensed Materials and their Outputs solely for a Permitted Purpose;
• create Derivatives solely for a Permitted Purpose; and
• reproduce and distribute the Licensed Materials and Derivatives to others, solely for a Permitted Purpose and only under the terms of Section 4.

No other rights are granted. All rights not expressly granted are reserved by Vaktex.

3. Commercial and Production Use Requires Permission

You may not use the Licensed Materials, a Derivative, or any Output for a Commercial Purpose unless Vaktex has granted you permission to do so.

Being permitted to download and study the Licensed Materials does not permit you to deploy them, operate them in production, or use them in the course of a business. Whether you are an individual, an academic institution, or a company, any Commercial Purpose requires Vaktex’s prior permission.

How to obtain permission. Companies and individuals may request commercial permission by requesting access on the Model Card. Vaktex may grant, condition, or withhold access at its sole discretion, and may attach terms to a grant. If Vaktex grants you access for a Commercial Purpose through the Model Card, that grant permits the Commercial Purpose subject to this License, including the permanent restrictions in Section 6, which it does not lift. For terms beyond those Section 6 permits, contact legal@vaktex.com for a separate written agreement.

4. Redistribution and Derivatives

If you distribute the Licensed Materials or any Derivative (only ever for a Permitted Purpose), you must:

• distribute it under this same License, and include a complete, unmodified copy of this License with it;
• retain all copyright, attribution, and notice text from the Licensed Materials;
• cause any modified files to carry prominent notices stating that you changed them; and
• clearly identify any Derivative as derived from the Vaktex DOM-OSS model, without implying Vaktex endorses you or your work.

You may not sublicense the Licensed Materials or a Derivative, and you may not impose any term on a recipient that conflicts with this License. Any recipient receives their rights directly under this License from Vaktex.

5. Restrictions

You may not:

• use the Licensed Materials, a Derivative, or any Output for a Commercial Purpose except with permission from Vaktex (Section 3);
• remove, obscure, or alter any proprietary notice, license text, or attribution in the Licensed Materials;
• use Vaktex’s names, logos, or trademarks except for factual attribution as required by Section 4;
• represent that a Derivative is the original Model or is endorsed by Vaktex; or
• use the Licensed Materials in violation of any applicable law, export control, or sanctions regime, or to test any system you are not authorized to test.

6. Permanent Restrictions

The following restrictions apply to everyone, at all times. They are not lifted by a Permitted Purpose, by permission granted through the Model Card, or by any other grant, and they can be varied only by a separate written agreement signed by Vaktex that expressly refers to this Section.

• No resale. You may not sell, resell, rent, lease, sublicense, or otherwise distribute or make the Licensed Materials or any Derivative available to a third party for a fee or other commercial consideration, whether on their own or bundled with, or embedded in, another product or service.
• No public API hosting. You may not host, expose, or make the Licensed Materials, a Derivative, or their Outputs available to any third party over a network, including as or through an API, endpoint, hosted service, “as-a-service” offering, or any other means by which a third party can invoke the Licensed Materials or obtain their Outputs. Use that remains entirely internal to you or your organization, and does not expose the Licensed Materials, a Derivative, or their Outputs to any third party, is not restricted by this paragraph.

7. Ownership

The Licensed Materials are licensed, not sold. Vaktex retains all right, title, and interest in and to the Licensed Materials, including all intellectual property rights. As between you and Vaktex, you own the Derivatives you create and the Outputs you generate, but your rights to use them remain subject to this License, including Sections 3 and 6.

8. No Warranty

THE LICENSED MATERIALS AND THEIR OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAKTEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

The Outputs are probabilistic and may be incorrect. They are informational only and are not security, legal, or professional advice. You are responsible for independently verifying any result before relying on it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAKTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE LICENSED MATERIALS OR THIS LICENSE.

VAKTEX’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain liability limitations. Those limitations apply only to the extent permitted by law.

10. Termination

This License and the rights granted under it terminate automatically if you breach any term. Vaktex may also terminate this License at any time where permitted by law.

On termination, you must stop using and distributing the Licensed Materials and all Derivatives and destroy your copies, except that recipients who received a Derivative from you in compliance with this License keep their rights so long as they remain in compliance. Sections 5 through 12 survive termination.

11. Governing Law

This License is governed by the laws of the State of Texas, United States, excluding its conflict of laws rules.

Any dispute shall be resolved in the state or federal courts located in Bexar County, Texas, unless applicable law requires otherwise.

12. Entire Agreement

This License is the entire agreement between you and Vaktex regarding the Licensed Materials and supersedes any prior understanding, except a separate written commercial license signed by Vaktex, which controls to the extent it conflicts with this License.
