1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of Vaktex’s websites, APIs, software, and services, including VScan (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you may not use the Services.

2. Eligibility

You must have the legal capacity to enter into a binding agreement in your jurisdiction.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity occurring under your account.
• Providing accurate and current information.

You must promptly notify Vaktex of any unauthorized access or suspected compromise of your account.

4. Acceptable Use

You agree not to:

• Violate applicable laws or regulations.
• Abuse, disrupt, or interfere with the Services.
• Attempt to gain unauthorized access to systems or accounts.
• Reverse engineer, copy, or exploit the Services except as permitted by law.
• Use the Services to distribute malware or engage in malicious activity.
• Circumvent usage limits, licensing restrictions, or security controls.

Vaktex may investigate suspected violations and take appropriate action.

4.1. Authorized Security Testing

You may use Vaktex to conduct penetration testing, vulnerability scanning, security research, or other security assessments only against systems, applications, networks, repositories, domains, accounts, and other assets that you own, control, or have received express authorization to test (“Authorized Assets”).

You represent and warrant that:

1. you have all permissions necessary to test each Authorized Asset;
2. your testing will remain within the scope, methods, systems, and time period permitted by the applicable authorization;
3. your testing and use of Vaktex will comply with all applicable laws, regulations, contracts, rules of engagement, and third-party rights; and
4. you will not use Vaktex to gain unauthorized access, disrupt services, damage systems or data, evade security controls for an unlawful purpose, or test assets beyond the authorized scope.

You are solely responsible for determining whether your activities are authorized and lawful. Vaktex does not grant you permission to test any asset and is not responsible for any testing you conduct without authorization or beyond its authorized scope.

Vaktex may investigate activity that it reasonably believes may be unauthorized, abusive, unlawful, or inconsistent with these Terms. Vaktex may restrict, suspend, or terminate your access to the Services; preserve relevant records; notify the affected asset owner or service provider; and report the activity to applicable authorities where Vaktex considers such action appropriate or where required by law.

You agree to reasonably cooperate with Vaktex in verifying your authorization upon request. Failure to provide satisfactory evidence of authorization may result in the restriction, suspension, or termination of your access to the Services.

To the fullest extent permitted by applicable law, you are responsible for claims, losses, damages, penalties, costs, and expenses arising from your unauthorized testing, testing beyond the authorized scope, or violation of this section. Any indemnification obligations are governed by the Indemnification section of these Terms.

5. Security Scanning

You represent that you have authorization to scan any code, repositories, systems, or infrastructure submitted to the Services.

You are solely responsible for ensuring you have the legal right to perform any requested scans.

Vaktex is not responsible for unauthorized or unlawful use of the Services.

6. Intellectual Property

You retain ownership of your source code and other content submitted to the Services.

Vaktex does not use your code, scan results, or findings to train machine learning models. This applies on every plan. There is no opt-in that changes it and no promotional exception to it.

Vaktex retains all rights, title, and interest in the Services, including software, models, documentation, trademarks, and intellectual property.

7. Fees and Billing

Paid subscriptions are billed in advance.

Payments are securely processed by Stripe.

Unless otherwise stated:

• Fees are non-refundable.
• Failure to pay may result in suspension or termination of access.

Enterprise customers may have different terms under a separate written agreement.

8. Suspension and Termination

Vaktex may suspend, restrict, or terminate access to any account or the Services at any time, with or without notice, for any lawful reason, including but not limited to security concerns, abuse, violations of these Terms, operational requirements, legal obligations, or business decisions.

Unless required by applicable law or expressly provided in a written Service Level Agreement (SLA) or other written agreement signed by Vaktex, termination or suspension does not entitle you to a refund, credit, or other compensation.

You may stop using the Services or delete your account at any time.

9. Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.

Maintenance, updates, outages, and events beyond our reasonable control may temporarily affect availability.

Availability commitments apply only where expressly stated in a written SLA.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAKTEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Security scan results are informational and should not be considered legal, regulatory, or professional advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAKTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF BUSINESS, OR BUSINESS INTERRUPTION.

VAKTEX’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VAKTEX DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain liability limitations. Those limitations apply only to the extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vaktex, its affiliates, employees, officers, directors, and contractors from claims, damages, liabilities, and expenses arising from:

• Your use of the Services;
• Your violation of these Terms; or
• Your violation of any law or third-party rights.

13. Privacy

Your use of the Services is also governed by our Privacy Policy.

14. Export Compliance

You agree to comply with all applicable export control and sanctions laws.

You may not use the Services where prohibited by applicable law.

15. Changes to the Services

Vaktex may modify, discontinue, replace, or update any feature or portion of the Services at any time without liability.

16. Changes to These Terms

We may update these Terms from time to time.

Material changes will become effective upon posting or as otherwise required by applicable law.

Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Texas, United States, excluding its conflict of laws rules.

Any disputes shall be resolved in the state or federal courts located in Bexar County, Texas, unless applicable law requires otherwise.
